These Terms of Service (the "Terms") govern your use of baycoastadvisors.com (the "Site"), operated by BayCoast Advisors, LLC. Loan brokerage services are provided by BayCoast Capital, LLC (together with BayCoast Advisors, LLC, "BayCoast," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Informational Purposes Only; No Advice

The Site and its content are provided for general informational purposes only. Nothing on the Site constitutes legal, tax, accounting, investment, or other professional advice, and nothing on the Site is an offer to buy or sell any business, security, or financial product. You should consult your own advisors before acting on any information found on the Site.

No Client or Advisory Relationship

Using the Site, submitting a form, requesting an opinion of value or valuation range, or communicating with us does not create an advisory, brokerage, fiduciary, attorney-client, or other professional relationship with BayCoast. Any engagement of BayCoast is governed exclusively by a separately executed engagement agreement, and no obligation exists unless and until such an agreement is signed by both parties.

BayCoast Advisors, LLC and BayCoast Capital, LLC are not registered broker-dealers and do not offer securities-related services through this Site.

Submissions and Communications

Information you submit through the Site is handled in accordance with our Privacy Policy, and we treat inquiries as confidential as described there. However, internet transmission is never fully secure, and we recommend you do not submit highly sensitive documents or information through Site forms; we can arrange secure transfer methods during an engagement. By providing your contact information, you consent to being contacted by BayCoast by email, phone, or text message, including with marketing communications, subject to your right to opt out as described in the Privacy Policy.

Transaction Information; No Guarantee of Results

Transaction statistics, experience figures, and tombstones presented on the Site may include transactions completed by BayCoast personnel at prior firms or in prior roles, and aggregate the experience of multiple professionals. Testimonials reflect individual experiences and are not a guarantee of outcome. Every transaction is different; past results do not guarantee future results, including any particular valuation, financing terms, or closing.

Intellectual Property

The Site and its content — including text, graphics, logos, and design — are owned by BayCoast or its licensors and are protected by intellectual property laws. You may view, download, and print Site content for your personal or internal business evaluation of BayCoast's services. You may not copy, republish, distribute, or create derivative works from Site content for commercial purposes without our prior written consent.

Acceptable Use

You agree not to misuse the Site, including by: interfering with its operation or security; attempting to gain unauthorized access to any systems or data; submitting false, misleading, or unlawful content; or using the Site to harass or harm others.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BAYCOAST AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. TO THE FULLEST EXTENT PERMITTED BY LAW, BAYCOAST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You agree to indemnify and hold harmless BayCoast and its members, managers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or violation of these Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction and venue there.

General

We may update these Terms at any time; updated Terms are effective when posted, and your continued use of the Site constitutes acceptance. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, are the entire agreement between you and BayCoast regarding use of the Site.
